Remuneration: R 768, 989.49 CTC (plus a possible 20% performance bonus)

The Mining Qualifications Authority (MQA) is a Sector Education and Training Authority (SETA) operating under the Department of Higher Education and Training (DHET). It is mandated by the Skills Development Act (SDA) 97 of 1998 to drive skills development within the mining and minerals sector (MMS). Its scope covers a diverse range of sub-sectors, including Coal Mining, Gold Mining, Platinum Group Metals (PGM) Mining, Diamond Mining, Other Mining, Cement, Lime, Aggregates, and Sand (CLAS), as well as Services Incidental Mining (SITM), Diamond Processing, and Jewellery Manufacturing.

The MQA requires the services of the suitably qualified and competent individual to fill the above-mentioned position.

Role Purpose: To provide sound, professional, efficient legal and governance services to the Mining Qualifications Authority (MQA) and to support the development of legal and governance frameworks to ensure compliance to legislation, policies and procedures and all regulatory requirements.

This position reports to designated manager within the legal and Governance Unit.

Key Performance Areas:

Contract Management & Monitoring: • Draft and prepare contracts and templates for the MQA in line with relevant prescripts and appointments general conditions of contract • Monitor implementation of contracts and ensure conformity to the requirements of the contracts • Liaise with stakeholders and service providers regarding signing, monitoring and termination of contracts • Liaise with and take remedial actions necessary for non-compliant service providers • Give input on process flows, systems and procedures for legal and governance functions in the MQA • Facilitate training and capacitation of internal and external stakeholders in respect of contracts and agreements signed between the MQA and other parties • Develop and maintain contract management and tracking system, and advise relevant stakeholders on contract termination and expiry periods • Track compliance of all contracts to best practices and relevant legislative frameworks• Maintain and update the centralised document management system for Unit documentation, contracts and reports.

Corporate Governance Advisory services: • Provide corporate governance advisory services to the organisation on governance-related structures • Draft and review Terms of Reference, charters and other governance frameworks for governance structures • Assist with induction, orientation, training and continuous development of governance structures and officials on governance and fiduciary responsibilities. • Assist with governance and administration and secretariat support functions for governance structures and committee.   Prepare governance reports in line with the MQA’s governance framework and reporting requirements • Ensure the provision of accurate, reliable and timely governance-related information to relevant stakeholders  • Prepare and submit all documentation required for internal and external audit purposes • Provide input into the identification, assessment, mitigation and monitoring of strategic and operational risks for the Unit.

Strategy Policies and Procedures: • Assist in the development, implementation and review of the MQA policy framework • Provide professional support on all legal and governance matters in order to support the business operations and strategic initiatives • Provide input on organisational wide policies and advise on the review, amendments and enhancements • Provide input on legal and governance process flows, systems and procedures to support operational effectiveness and compliance. • Assist in ensuring alignment of policies and procedures with applicable legislation, governance prescripts and best practice.

Compliance Management •  Support the enhancement and continuous improvement of the MQA compliance and governance framework • Advise the MQA on the legislative developments, governance prescripts and regulatory requirements affecting the organisation • Monitor compliance with the MQA Constitution, policies and relevant legislative frameworks • Provide inputs into the enhancement and continuous improvement of the MQA’s corporate governance framework.

Legal Services: •. Provide legal advice, guidance and legal opinions to the MQA •  Draft, review and interpret legal documents, contracts and related legal correspondence • Prepare legal support on employment, labour and employment relations matters • Liaise with legal service providers and review external legal opinions and related legal documentation • Liaise business units to identify and support legal, corporate governance and compliance requirements • Prepare reports, submissions and communication relating to  legal, governance and compliance matters • Facilitate awareness and information-sharing sessions on legal, governance and compliance matters • Assist with litigation management and coordination of legal matters.

Stakeholder Capacitation: • Coordinate capacity building activities for employees on legal, governance and contractual matters, including related process flows • Facilitate and support in communication of legal and governance management processes across the organisation.

Financial Management: • Monitor expenditure and manage all costs in line with the approved budget. Identify and report potential  over-expenditure and provide input of corrective measures • Review the monthly expenditure and provide financial input and reports to line manager.

Unit Performance Management: •   Support the achievements of Unit deliverables and performance targets • Assist in the development, guidance and empowerment of the team to achieve Unit objectives • Support the Implementation and monitoring of performance agreements in line with the Unit strategy and operational plans • Assist in monitoring team performance and promoting continuous improvement within the unit.

Key requirements: qualifications, experience, and competencies

Qualifications:

  • A Bachelor of Laws (LLB) (NQF 8)
  • Admission as a legal practitioner in terms of the Legal Practice Act will be preferred
  • Membership with a recognised professional body, such as the Legal Practice Council will be an added advantage

Experience:

  • A Minimum of 6 years’ relevant work experience in legal and compliance environments, of which at least 3 years must have been at a supervisory level.
  • Experience within the public sector or public entities, preferably within a SETA environment will be an advantage
  • Sound knowledge and understanding of the legislative and regulatory framework applicable to public entities, including the Public Finance Management Act (PFMA), corporate governance principles and public sector compliance requirements.
  • Knowledge of the SETA landscape and the relevant legislation, policies and governance prescripts applicable to the sector.

Knowledge: • In depth knowledge of Corporate Governance practices, Company Law and other relevant legislation • Knowledge of contractual law and litigation and statutory interpretation • Understanding of legal and governance procedures and process in the South African Context • Understanding and interpretation of contracts • Understanding of corporate governance in the public and private sector• Knowledge of skills development legislation and the training environment in South Africa.
